Question Thoughts on setting up an LLC in Delaware?
Hi Everyone! It was suggested to me that I look into getting an LLC set up in the state of Delaware. It's cheaper and is legitimate and can be used anywhere in the U.S.

Anyone have any thoughts on doing this? I'm in Washington state and it's almost $200 to start an LLC.

I'm wondering what the advantages/disadvantages of setting up in Delaware...

Mea Culpa! Here is a little more info I found...

How to Set up a LLC in Delaware

Why do people set up LLC's and Corporations in Delaware. Well the anwser is simple, the protection of information and tax benefits. Many people debate on whether to set up LLC, LP's, and/or corporations in Delaware or Nevada and some people have there favorites but to set up a LLC you will need the following info:

1.Decide what type of company you want to register (LLC, LP)

2. Choose a Registered Agent – someone who’s authorized to do business in the state of Delaware and you must provide proof of a physical street address. You can view a list of Delaware Registered Agents on their website.

3. Reserve your company name (optional $75.00) for 120 days, it guarantees that the name will be held. http://corp.delaware.gov/nameres.shtml

4. Complete Certificate of Incorporation forms which can be down loaded from http://corp.delaware.gov/newentit.shtml

5. Mail or Fax completed request. Fax: 302-739-3812 or Mail: Division of Corporations – John G. Townsend Bldg, 401 Federal St. Suite 4, Dover, DE 19901. All fees must be included with the request.

6. You will be required to file an annual report and pay a franchise tax.

---

I have also read that in some states you have to file as a foreign corporation if you do the bulk of your business in that state. You may wish to check with your Secretary of State's office before making a final decision.

My primary advice is still to save your nickels and dimes and form an llc in your own state.
