Default Setting up LLC
I thought I saw a thread on this somewhere but can't seem to find it...

I have my business name and am getting ready to set up an LLC. Is it easy to set this up on my own or is it best to get help from a company like LegalZoom? I know I have to register with the state (I'm in PA) and also put together articles of organization? I'm trying to save the $$ so I can put it towards new software.

Any help would be appreciated!!

You can register it yourself online at the PA Department of State Corporations Bureau.

If you file it yourself you will just have to pay the State filing fees. If you use legal zoom you have to pay their processing fee in addition to the State filing fees. A service like legal zoom does provide additional services, such as preparing your Operating Agreement but you can find a draft of one on docstoc.com and prepare it yourself.

We used LegalZoom to set up our LLP and it was a great help at the time although I'd likely do it myself if/when there's a 'next time' - it didn't look as complicated as I'd thought (once I rec'd the papers from LegalZoom and could see what had been done) and ultimately wasn't the time drain I'd imagined.

I set up my LLC myself in the States of Nevada and in New York. I am registered in both states, but the main registration is in Nevada.

I've done some research and it doesn't look that difficult. Did you have any troubles Phyllis? Can the articles of organization be basic? I've found a few samples on docstoc.com. Some are very basic and others are detailed.

I am sure there is a discussion about this somewhere, but thought I would post my question here to start. If you set up an LLC in the state that you live in, does that limit your business to that state, or can you still work globally. Just curious.

No, it does not limit you. You can work with clients anywhere but you must follow the rules of the state you're registered in.

No I didn't have any problem, the paperwork was self explanatory and I took it from there. Since my home state is New York, I needed an Resident Agent, (just another way in getting you to pay more money) in order to have an LLC in Nevada. But since I am an investigator, I usually go into the States Website and pay my fees by myself. One, two three I am done. My Resident agent wants to charge me $500.00 to file paperwork. By doing it myself yearly, I save $300.00.

It seems that in PA to set up an LLC we need to register our business as a ficticious name and then publish it in a local newspaper and also a legal publication. It will list our name and home address.

However, there is no annual fee for the LLC!

Has anyone done this?
