Default My New Bank is Asking for an Operating Agreement for an LLC
Last week I setup my LLC, got my EIN and started the process to get my business bank account. My new bank wants the Articles of Organization that is being filed for the LLC but they are also asking for an Operating Agreement. They say this is different than what is being filed with the Secretary of State for the LLC. They say it is a document I would draw up myself. I went online to see if there was a template and what I found was if the LLC had many partners or members which mine will not. Also, many of the sites will do it for me for a fee.

It sound like something that a person can draw up themselves without the need of paying anyone to do it. I was just interested to hear if anyone here had to do this and what they did to get it?

Here's a template you can easily replicate in Word, just add your own company info.

Hi Shannon, I have an LLC in NJ. I wasn't asked by my bank for this, so maybe it's different in your state. You may want to Google this information or you may want to buy a book on it.

I purchased a book when I first started. It has a lot of good information that may cover this. It is a soft cover by Nolo and it is for all the states. It covers all the regulations and legalities.

The name is "Form your own limited liability company" by Attorney Anthony Mancuso. I got mine at the bookstore but you can check here and see if it is available online http://www.nolo.com/products/;jsessionid=1874D24D0CF6D7B924 B46B0B0C0A2568.

I and my partners recently had to do the exact same thing to get our business bank account and we found a template online and just went through the clauses and edited it according to our situation.

In the end because one of our partner's is not American we had to open the account with only two of us on the account instead of three because we didn't have time to wait for a bank district manager to approve the account. We have had to temporarily use a different method to for our partner to be able to access the account in the mean time while we wait for the bank to fix the account so that all of us have access, properly.
