Forming an LLC?
Hello everyone,

Have you heard of www.directincorporation.com? If so what is the difference between them and www.legalzoom.com? Does legal zoom provide lawyers? I know direct is cheaper than legal.

Delaware and Colorado is the cheapest to file a LLC as I understand

Also in the case of an LLC. If an LLC is formed along with an EIN and no money has been made or spent and all the members decide they no longer want to be apart of such LLC can they all just back out? Will one of those members be able to start a new LLC? Would this affect any of the members negatively? Can that member who filed for the EIN file for another EIN and LLC & start another biz?

I have not heard of directincorporation but assume its probably the same as legalzoom.

It sounds like you have a lot of questions and I would recommend talking to a lawyer, especially if you are going to have partners/multiple members.

I will answer your questions, but must state that I am not offering legal advice.

An LLC can be dissolved at any time. How far you are into the process of setting up the LLC will determine what needs to be done to dissolve it.

There is no limit to how many LLC's you can be a member of or how many EIN's you can apply for, in fact, most entrepreneurs have multiple businesses.

Dissolving an LLC will not have a negative effect on any of its members. However, if not dissolved properly it can. LLC's have to be renewed every year, you cannot just simply not renew and it will go away, rather it will show as not in good standing. You will actually have to file articles of dissolution for it to cease to exist.

Phew, that's quite a lot of questions all in one breath!

I've never heard of the company you mentioned but have worked with Legal Zoom and was happy with their work. They did make a minor mistake in my case but rectified it and gave a quick partial refund so it all worked out and I would definitely work with them again for forming an LLP as we did.

Rebecka gave you some great answers and some excellent advice, I'd also recommend talking to a lawyer.
